Government purchasing: a double-edged sword

While approaching the end of 2012, Government purchasing has again become a hot topic at many agricultural means of production conferences. Many pesticide enterprises, especially those missing the government purchasing this year, expressed that they will continue to lay great efforts to prepare for the government purchasing battle in 2013, according to CCM’s November issue of Crop Protection China News.

Since the Ministry of Agriculture of China (MOA) released the agricultural subsidy policy on 6 April, 2012, USD254.37 million (RMB1.6 billion) of subsidy has been allocated to 11 winter wheat planting provinces and areas in China to subsidize farmers' use of pesticides and foliar-fertilizers on winter wheat, with total planting area reaching 21.33 million ha. Adding up the subsidies allocated on rice, vegetable, tobacco, cotton, etc., the whole government purchasing capital of agricultural means of production in 2012 is estimated to reach USD317.97 million (RMB2 billion).

Government purchasing is now called as a double-edged sword because it brings both advantages and disadvantages to domestic agricultural means of production industries. As the capital of government purchasing gradually grows in recent years, more and more domestic enterprises are attracted to scramble for the bid inviting of local governments and those enterprises who win the bid enjoy good profit. Take Jiangsu Anpon Electrochemical Co., Ltd. (Jiangsu Anpon), a typical enterprise in domestic government purchasing of agricultural means of production for example, it won the bid of 300 tonnes of pymetrozine in the government purchasing of Jiangxi Province in 2010, valuing USD15.9 million. In 2011, its pymetrozine products again won the government purchasing bid of Jiangsu Province with the quantity of 120 tonnes, valuing about USD6.35 million.

The government purchasing not only benefits the performances of the enterprises who win the bid, but also promotes their products for free. Owing to domestic chaotic pesticide market, domestic farmers with low educational level usually can't tell counterfeit agricultural means of productions from good quality ones. When the government purchases agricultural means of productions for them, they believe that these products from government purchasing are reliable and show great loyalty to the brands of the products when they buy them by themselves.

Moreover, government purchasing not only helps farmers to save a considerable spending on agricultural means of production, but also ensures farmers to use the right pesticides and fertilizers which are the main cores of Chinese Central Government to carry out the policy of government purchasing.

However, except for those enterprises who enjoy benefit from government purchasing, others and those traditional dealers of agricultural means of production, on the other sides, complaint that government purchasing is unfair to some extent and has affected greatly the traditional sales channels of agricultural means of production.

Owing to the cumbersome procedures of the bid inviting, lots of pesticide enterprises lack experiences of preparing bidding materials. As many pesticide enterprises located in different provinces need to travel to other provinces for the bid inviting, they are forced to give up when they find that it is impossible to fetch the materials needed in a short time. In addition to the cumbersome procedures and lots of bid materials needed, the high threshold of the enterprise's registered capital set by local governments is also a big pressure to the pesticide enterprises who want to gain the bid inviting, especially those medium and small sized ones. Some provinces which invite public bidding by provincial authorities only allow large and famous pesticide enterprises to participate in.

Traditional pesticide dealers feel great pressure in government purchasing activities as well. As those government purchased products are distributed to farmers for free, the sales channels of pesticide dealers continue to shrink. Moreover, some of these products will not be used in the right year due to different planting conditions and outbreak conditions of pest and diseases but will be used next year, thus affecting the sales of pesticide dealers.

Although many enterprises complaint about the unfair rules in local government purchasing, they still believe that it represents the third kind of sales channel in domestic agricultural means of production industry. The only way to get involved in the activity is no other than better preparing and actively participating.

Main M&A Cases in Pesticide Industry, 2011

After China released the Pesticide Industry Policy on 19 Sept., 2010, pesticide companies' capital operations are more frequent in domestic pesticide industry. Supported by the policy, large pesticide enterprises, especially listed ones with a large amount of capital, launched their expansion by M&A, setting up subsidiaries and IPO, based on CCM’s latest issue of Crop Protection China News.

In this issue, CCM International will list the most influential M&A cases in domestic pesticide industry in 2011.
As M&A has the advantage of relatively low cost and high efficiency, it is considered to be the most important method for companies' expansion. Most international pesticide giants have realized a rapid growth through this kind of expansion, namely external expansion.
In 2011, there were eight main M&A cases that took place in domestic pesticide industry, and most of them happened among listed pesticide companies and non-listed ones.
1. On 6 Jan., 2011, Hebei Veyong Bio-chemical Co., Ltd. (Zibo Hongda), a big mining company in Shandong Province, has successfully bid for Huayang Technology's 20.38% equities with capital investment of about USD44.76 million. (Shandong Dacheng), a listed pesticide company, launched its major assets reorganization. 29.84% of Shandong Dacheng's total equities that was sold to an assignee group, namely Shandong Yinshan Investments Co., Ltd. 6. In early May 2011, China National Chemical Corporation (ChemChina) obtained the approvals from the Ministry of Commerce and the State Administration of Foreign Exchange for its acquisition of Makhteshim Agan Industries (MAI), an Israeli agrochemical giant.
In this transaction, ChemChina bought 60% equity of MAI (53% holdings of the public and 7% holdings of Koor Industries, the parent company of MAI), with the total cost of USD1.44 billion. In addition, ChemChina arranged a non-recourse loan of USD960 million to Koor through a Chinese bank, using Koor's shares in MAI as collateral, and the loan would be paid in full after seven years.
7. On 24 June 2011, China Agri-Business Inc. (China Agri-Business), a domestic agricultural company listed on NASDAQ in 2007 (Code No.: CHBU.OB), released that it temporarily acquired the management and operation rights of Shaanxi Qinfeng Agrochemical Co., Ltd. (Shaanxi Qinfeng), a large agrochemical player in Shaanxi Province for more than two and a half year, from 1 June 2011 to 31 Dec., 2013.

Carpoly Actively Preparing for IPO

China's largest coating producer Guangdong Carpoly Chemical Group Co., Ltd. (Carpoly) is preparing for IPO, according to CCM’s November issue of TiO2 China Monthly Report.

It expects to raise funds of USD108 million by IPO for new projects of its subsidiary Guangdong Carpoly Scientific Materials Co., Ltd. (Carpoly Scientific). The IPO projects include two projects from Carpoly Scientific (210,000 t/a coating production and its auxiliary projects, high performance coating R&D center construction project) and two projects from Carpoly (marketing network transformation & upgrade project, information system upgrade project).

On 8 Nov. 2011, the Ministry of Environmental Protection (MEP) proclaims the results of Carpoly's IPO Environmental Protection Inspection (EPI), which ranges over the period from 1 Jan. 2008 to 31 March 2011. After the inspection, the MEP decides that Carpoly's operations can meet the environmental protection requirements for IPO.

By now, Carpoly has seven wholly-owned subsidiaries (including a second-level subsidiary). With coatings capacity expansions over these years, Carpoly has a growing demand for TiO2. According to MEP's report, Carpoly consumed about eight thousand tonnes of TiO2 in 2010, up 29% year on year. Once Carpoly gets listed, its capacity of coatings will further increase, which is bound to lead to larger consumption of TiO2.

Editor’s Note
In Oct. 2011, China's manufacturing PMI fell back to 50.4%, with a great decline in import/ export order index and purchasing price index, and an increase in product inventory index. It indicates a relief of the inflation in China accompanied by an adverse external economic environment.

Meanwhile, China's CPI decreases for the third consecutive month and reaches 5.5%. In this case, Premier Wen Jiabao said on 25 Oct. the government would further fine-tune its macroeconomic policy by an appropriate degree at an appropriate time.

China's listed companies are under the inspection of Environmental and Social Responsibility now, and the companies to be listed must pass the Environmental Impact Assessment first, according to the 12th Five Year National Environmental Protection Plan released by the Ministry of Environmental Protection (MEP) on 9 Nov. 2011. China aims to reduce its CO2 emission per GDP by 17% between 2011 and 2015.

In the TiO2 industry, Sichuan Lomon and Shandong Dongjia successively attempted IPO in Nov. 2011. In addition to the strict environmental protection requirements, they also face the challenge of TiO2 price decrease in domestic market that lasts for four months due to the weak demand.

TiO2 China Monthly Report, a monthly publication issued by CCM International on 25th of every month, will penetrate into Chinese TiO2 market from a global view, deeply analyse TiO2 industrial chain and manufacturers’ competitiveness and trace the latest industrial hotspots and dynamics, aiming to provide the most valuable information about China’s TiO2 industry.
